A:Difficult to give tips with this amount of info. Is your business only on the Internet, in which country, what type of stuff do you sell, etc?
Generally speaking, you can only make a success of such a business if you network with other people and people knows your business by marketing it on the Internet, in the newspapers, on billboards, flyer's, on your car, in front of shop with flags, bells, inflatables, any thing that catches the eye etc. But the most important thing is the network thing. Linkedin.com is the best tool, believe me, man. As I've said, difficult to give you advice with your amount of information.

A:I take it you are planning on putting up a web site, and then allowing home owners to offer their homes for sale on the site?
Just do it. Build the site, then sell the ads.
BE CAREFUL!!! You don't want to do something that is going to get you on the wrong side of the real estate commission in your state. Check with them.

100% Q: Am I obligated to honor gift certificates sold by previous owner after the business sale transaction?
I purchased a day spa business a month ago. The previous owner gave me $4500 credit towards gift certificate redeem, as she claimed there weren't that much out there. However, just one month after the close of escrow, there were already more than $3000 worth of gift certifcate redeemed came forward. My concern is, the business will be hurt if I don't honor past gift certificate; however I can not afford keep doing this, especially without knowing how much are really out there because the previous owner did not have any record to trace. I couldn't even tell the authenticity of those gift certificates as a lot of them don't have date of issue, or number, or even value. I am stuck here, please help.
A:I don't envy your position.
The previous owner should have given you an example of a valid gift certificate so you could at least try to authenticate those being redeemed. Since the establishment is under new owndership you could post a sign stating a new policy regarding GC redemption. It could read something like:
"As of February 1, 2006 (or any date of your choosing) we will no longer be able to accept gift certificates that were purchased prior to December 1, 2005 (or whatever date you took over.) We apologize for any invonvenience this may cause." You might also want to mention the new ownership of the establishment.
Hopefully since you took over you have revamped the way your GC look so you can distinguish the old from new. You might also want to take into consideration that people may have just received the GC for Christmas and that would explain the huge redemption rate in the last few weeks.
It's one of those 'darned if you do and darned if you don't' situations. Just make sure that if you decide to cut off the old GC, you visibly post it in your shop for all to see for at least one month.

A:It's not required, but you'd be foolish to buy a business without one.
At a minimum, you use an attorney and an accountant for any business purchase. They should specialize in businesses the size you are buying. You may also need a specialist in that businesses industry.
You may also want to look for a SCORE group in your area.

100% Q: How do I go about presenting a sales and marketing plan via email to business owner but protect my idea?
I have what I beleive to be a good sales and marketing plan for a new type of business. I have spoken to the owner and he ask for any Ideas I had for both in our first conversation over the phone. My goal is to implement the plan and work as an independant agent with his company. I have given ideas to others before and they have used them to make money and did not include me in the profits. I don't want this to happen again. He seems honest but "once burned" as they say. I want to protect myself, but I also really want him to see my plan because this is an industry I want to get into and feel this is my chance. How do I go about letting him look at the plan but insure if it is used without me I have legal recourse. I do not want to be to forceful in having him sign some big legal contract after only one conversation.
A:I'd be really surprised if you have a revolutionary idea in sales and marketing. It's impossible for me to believe that with 8 billion people on this planet and billions of pages of information on the internet that no one in the history of mankind has ever thought of your idea. If it's this unique, I would patent it, sell it myself, and make millions. If it's not, just make your suggestion and see if they would finance the rollout.
